Different terms apply depending on how you order. The overview below shows which part applies to you.

A. Arranging companionship services
Scope & provider. This part applies to the arrangement of social companionship between Florim Berisha, Magirus-Deutz-Straße 12, 89077 Ulm (the "Agency") and you as the client. Deviating terms are not accepted unless we have expressly agreed to them in writing.
Subject of the service. The Agency arranges social companionship and shared time (e.g. for dinners, events, travel or private hours). Only the time spent and the companionship service are remunerated.
No sexual services are owed, offered or arranged. Anything the companion and the client may agree privately and consensually in their free time lies outside the arrangement contract and is not part of the Agency’s service.
Booking & conclusion of contract. A booking request via the form, by phone, e-mail or WhatsApp is non-binding. The arrangement contract is concluded only upon our express confirmation. Bookings require the client to be of legal age (at least 18) and to have legal capacity.
Fee & travel costs. The rates stated on the "Fees" page at the time of booking apply. Unless otherwise agreed, the fee is payable at the start of the appointment in cash in a sealed envelope. Additional travel costs may apply and are communicated transparently before confirmation. From a travel distance of 100 km, a minimum booking time of 3 hours applies.
Deposit, appointments & cancellation. A deposit of 40% of the agreed fee is required to confirm a booking. If the appointment is cancelled at least one week (7 days) before the agreed time, the deposit is refunded in full. For cancellations within this period, the deposit is retained as compensation.
Respectful, discreet and hygienic conduct is required. The companion is entitled to end the appointment at any time without refund in the event of disrespectful, threatening or inappropriate behaviour.
Applicable law. The law of the Federal Republic of Germany applies. Should any provision be invalid, the validity of the remaining provisions remains unaffected. Please direct any questions to info@kf-escort.de.
B. Orders placed via the online shop
General Terms and Conditions
1) Scope of Application
1.1 These General Terms and Conditions (hereinafter referred to as "GTC") of the company Florim Berisha (hereinafter referred to as "Seller”) shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as "Client”) and the Seller relating to all goods and/or services presented in the Seller's online shop. The inclusion of the Client’s own conditions is herewith objected to, unless other terms have been stipulated.
1.2 These GTC apply accordingly to the supply of digital content, unless expressly agreed otherwise. Digital content within the meaning of these GTC is data that is created and provided in digital form.
1.3 Regarding the purchase of vouchers, these GTC shall apply accordingly, unless expressly agreed otherwise.
1.4 A consumer pursuant to these GTC is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity.
1.5 A trader pursuant to these GTC is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity.
2) Conclusion of the Contract
2.1 The product descriptions in the Seller’s online shop do not constitute binding offers on the part of the Seller, but merely serve the purpose of submitting a binding offer by the Client.
2.2 The Client may submit the offer via the online order form integrated into the Seller's online shop. In doing so, after having placed the selected goods and/or services in the virtual basket and passed through the ordering process, and by clicking the button finalizing the order process, the Client submits a legally binding offer of contract with regard to the goods and/or services contained in the shopping cart.
2.3 The Seller may accept the Client’s offer within five days,
- by transferring a written order confirmation or an order confirmation in written form (fax or e-mail); insofar receipt of order confirmation by the Client is decisive, or
- by delivering ordered goods to the Client; insofar receipt of goods by the Client is decisive, or
- by requesting the Client to pay after he placed his order.
Provided that several of the aforementioned alternatives apply, the contract shall be concluded at the time when one of the aforementioned alternatives firstly occurs. Should the Seller not accept the Client’s offer within the aforementioned period of time, this shall be deemed as rejecting the offer with the effect that the Client is no longer bound by his statement of intent.
2.4 If a payment method offered by PayPal is selected, the payment will be processed by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter referred to as "PayPal"), subject to the PayPal Terms of Use, available at https://www.paypal.com/de/legalhub/paypal/useragreement-full?locale.x=en_DE or, if the Client does not have a PayPal account, subject to the Terms for payments without a PayPal account, available at https://www.paypal.com/de/legalhub/paypal/privacy-full?locale.x=en_DE. If the Client pays by means of a method of payment offered by PayPal which can be selected in the online order process, the Seller hereby declares the acceptance of the Client's offer at the time when the Client clicks on the button concluding the order process.
2.5 When submitting an offer via the Seller's online order form, the text of the contract is stored by the Seller after the contract has been concluded and transmitted to the Client in text form (e.g. e-mail, fax or letter) after the order has been sent. The Seller shall not make the contract text accessible beyond this.
2.6 Prior to submitting a binding order via the Seller’s online order form, the Client may recognize input errors by reading attentively the information displayed on the screen. The enlargement function of the browser to enlarge the display on the screen may be an effective method for better recognizing input errors.
The Client can correct all the data entered via the usual keyboard and mouse function during the electronic ordering process, until he clicks the button finalizing the ordering process.
2.7 The German and the English language are exclusively available for the conclusion of the contract.
2.8 Order processing and contacting usually takes place via e-mail and automated order processing. It is the Client’s responsibility to ensure that the e-mail address he provides for the order processing is accurate so that e-mails sent by the Seller can be received at this address. In particular, it is the Client`s responsibility, if SPAM filters are used, to ensure that all e-mails sent by the Seller or by third parties commissioned by the Seller with the order processing can be delivered.
3) Right to Cancel
3.1 Consumers are entitled to the right to cancel.
3.2 Detailed information about the right to cancel are provided in the Seller’s instruction on cancellation.
4) Prices and Payment Conditions
4.1 Unless otherwise stated in the product description, prices indicated are total prices. Value Added Tax (VAT) is not charged because the Seller, as a small entrepreneur, is exempt from VAT. Any possible additional delivery and dispatch costs are specified separately in the respective product description.
4.2 Payment can be made using one of the methods mentioned in the Seller’s online shop .
4.3 If prepayment by bank transfer has been agreed upon, payment is due immediately after conclusion of the contract, unless the parties have arranged a later maturity date
5) Shipment and Delivery Conditions
5.1 If the Seller offers to ship the goods, delivery shall be made within the delivery area specified by the Seller to the delivery address specified by the Client unless otherwise agreed. When processing the transaction, the delivery address specified in the Seller's order processing shall be decisive.
5.2 Should the assigned transport company return the goods to the Seller, because delivery to the Client was not possible, the Client bears the costs for the unsuccessful dispatch. This shall not apply, if the Client exercises his right to cancel effectively, if the delivery cannot be made due to circumstances beyond the Client's control or if he has been temporarily impeded to receive the offered service, unless the Seller has notified the Client about the service for a reasonable time in advance.
5.3 Personal collection is not possible for logistical reasons.
5.4 If the customer is a consumer resident in Germany or a business, the seller reserves the right to withdraw from the contract in the event of incorrect or improper supply to the seller. However, this applies only if the seller is not responsible for the non-delivery and has, with due care, entered into a specific covering transaction with the supplier. The seller will make every reasonable effort to obtain the goods. In the event that the goods are unavailable or only partially available, the customer will be informed immediately and the payment will be refunded without delay.
6) Granting Rights of Use for Digital Content
6.1 Unless otherwise stipulated in the description of contents displayed in the Seller's online shop, the Seller grants the client the non- exclusive right, unlimited in relation to place and time, to use the contents supplied for private and professional purposes.
6.2 The transmission of content to third parties or the production of copies to third parties in a way not covered by the GTC is prohibited, unless the Seller has consented to the transfer of the contractual license to third parties.
6.3 The granting of rights shall become effective only when the Client has fully paid the contractually owed remuneration. The Seller may also grant provisional permission to use the contractual content before this date. Such provisional authorization does not constitute a transfer of rights.
7) Reservation of Proprietary Rights
If the Seller provides advance deliveries, he retains title of ownership to the delivered goods, until the purchase price owed has been paid in full.
8) Warranty
8.1 Unless otherwise stipulated , the provisions of the statutory liability for defects shall apply. Deviating therefrom, the following shall apply to contracts for the delivery of goods:
8.2 If the Client acts as trader
- the Seller may choose the type of subsequent performance,
- for new goods, the limitation period for claims for defects shall be one year from delivery of the goods,
- for used goods, the rights and claims for defects are excluded,
- the limitation period shall not recommence if a replacement delivery is made within the scope of liability for defects.
8.3 The above-mentioned limitations of liability and shortening of the period of limitation do not apply
- to claims for damages and reimbursement of expenses of the Client,
- if the Seller has fraudulently concealed the defect,
- for goods which have been used in accordance with their customary use for a building and which have caused its defectiveness,
- for any existing obligation of the Seller to provide updates for digital products with respect to contracts for the supply of goods with digital elements.
8.4 Furthermore, for traders, the statutory limitation periods for any statutory right of recourse that may exist shall remain unaffected.
8.5 If the Client is a businessperson pursuant to section 1 of the German Commercial Code (HGB) he has the commercial duty to examine the goods and notify the Seller of defects pursuant to section 377 HGB. Should the Client neglect the obligations of disclosure specified therein, the goods shall be deemed approved.
8.6 If the Client acts as a consumer, the forwarding agent has to be immediately notified of any obvious transport damages and the Seller has to be informed accordingly. Should the Client fail to comply therewith, this shall not affect his statutory or contractual claims for defects.
9) Liability
The Seller is liable to the Client for all contractual, quasi-contractual and legal, including tortious claims for damages and reimbursement of expenses as follows:
9.1 The Seller is liable without limitation for any legal reason
- in the event of intent or gross negligence,
- in the event of intentional or negligent injury to life, body or health,
- due to a guarantee promise, unless otherwise regulated in this regard,
- due to mandatory liability such as under the German Product Liability Act (Produkthaftungsgesetz).
9.2 If the Client is a consumer resident in Germany or a business, the following limitations of liability apply:
If the Seller negligently breaches an essential contractual obligation, his liability is limited to the foreseeable damage typical for this type of contract, unless he is liable without limitation in accordance with the preceding clause. Essential contractual obligations are obligations which the contract imposes on the Seller, by virtue of its content, in order to achieve the purpose of the contract; the fulfilment of which is essential for the proper performance of the contract; and on the observance of which the Client may reasonably rely. In all other respects, the Seller’s liability is excluded, unless the Seller is liable without limitation in accordance with the preceding clause.
9.3 The above liability provisions also apply with regard to the liability of the Seller for his vicarious agents and legal representatives.
10) Redemption of Gift Vouchers
10.1 Vouchers which can be purchased via the Seller’s online shop (hereinafter referred to as "gift vouchers") can only be redeemed in the Seller’s online shop, unless otherwise stipulated in the voucher.
10.2 Gift vouchers and remaining assets of gift vouchers can be redeemed by the end of the third year following the year of the gift voucher purchase. Remaining assets will be credited to the Client’s voucher account.
10.3 Gift vouchers can only be redeemed prior to the conclusion of the order procedure. Subsequent offsetting is not possible.
10.4 If the value of the gift voucher is not enough for the order, the Client may choose one of the remaining payment methods offered by the Seller to pay the difference.
10.5 The gift voucher credit will not be redeemed in cash and is not subject to any interest.
11) Applicable Law
The law of the Federal Republic of Germany shall apply to all legal relationships between the parties under exclusion of the laws governing the international purchase of movable goods. For Consumers, this choice of law only applies to the extent that the granted protection is not withdrawn by mandatory provisions of the law of the country, in which the Consumer has his habitual residence.
12) Alternative dispute resolution
The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.

C. Sale of vouchers for services
Allgemeine Geschäftsbedingungen mit Kundeninformationen
These terms are available in German only; the contractual language is German.
1) Geltungsbereich
1.1 Diese Allgemeinen Geschäftsbedingungen (nachfolgend "AGB") des Florim Berisha, handelnd unter „Florim Berisha“ (nachfolgend "Verkäufer"), gelten für alle Verträge zur Überlassung von Gutscheinen, die ein Verbraucher oder Unternehmer (nachfolgend „Kunde“) mit dem Verkäufer hinsichtlich der vom Verkäufer in seinem Online-Shop dargestellten Gutscheine abschließt. Hiermit wird der Einbeziehung von eigenen Bedingungen des Kunden widersprochen, es sei denn, es ist etwas anderes vereinbart.
1.2 Diese AGB regeln lediglich den Verkauf von Gutscheinen für bestimmte, in der Artikelbeschreibung des Verkäufers näher bezeichnete Dienstleistungen und nicht die Durchführung dieser Dienstleistungen. Für die Durchführung der Dienstleistungen gelten ausschließlich die gesetzlichen Bestimmungen im Verhältnis zwischen dem Kunden und dem Dienstleister sowie ggf. hiervon abweichende Bedingungen des Dienstleisters. Sofern der Verkäufer nicht zugleich auch Dienstleister ist, haftet er nicht für die ordnungsgemäße Durchführung der Dienstleistung, für die ausschließlich der jeweilige Dienstleister verantwortlich ist.
1.3 Verbraucher im Sinne dieser AGB ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können.
1.4 Unternehmer im Sinne dieser AGB ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.
2) Vertragsschluss
2.1 Die im Online-Shop des Verkäufers enthaltenen Artikelbeschreibungen stellen keine verbindlichen Angebote seitens des Verkäufers dar, sondern dienen zur Abgabe eines verbindlichen Angebots durch den Kunden.
2.2 Der Kunde kann das Angebot über das in den Online-Shop des Verkäufers integrierte Online-Bestellformular abgeben. Dabei gibt der Kunde, nachdem er die ausgewählten Gutscheine in den virtuellen Warenkorb gelegt und den elektronischen Bestellprozess durchlaufen hat, durch Klicken des den Bestellvorgang abschließenden Buttons ein rechtlich verbindliches Vertragsangebot in Bezug auf die im Warenkorb enthaltenen Gutscheine ab.
2.3 Der Verkäufer kann das Angebot des Kunden innerhalb von fünf Tagen annehmen,
- indem er dem Kunden eine schriftliche Auftragsbestätigung oder eine Auftragsbestätigung in Textform (Fax oder E-Mail) übermittelt, wobei insoweit der Zugang der Auftragsbestätigung beim Kunden maßgeblich ist, oder
- indem er dem Kunden die bestellten Tickets liefert, wobei insoweit der Zugang der Tickets beim Kunden maßgeblich ist, oder
- indem er den Kunden nach Abgabe von dessen Bestellung zur Zahlung auffordert.
Liegen mehrere der vorgenannten Alternativen vor, kommt der Vertrag in dem Zeitpunkt zustande, in dem eine der vorgenannten Alternativen zuerst eintritt. Die Frist zur Annahme des Angebots beginnt am Tag nach der Absendung des Angebots durch den Kunden zu laufen und endet mit dem Ablauf des fünften Tages, welcher auf die Absendung des Angebots folgt. Nimmt der Verkäufer das Angebot des Kunden innerhalb vorgenannter Frist nicht an, so gilt dies als Ablehnung des Angebots mit der Folge, dass der Kunde nicht mehr an seine Willenserklärung gebunden ist.
2.4 Bei Auswahl einer von PayPal angebotenen Zahlungsart erfolgt die Zahlungsabwicklung über den Zahlungsdienstleister PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxemburg (im Folgenden: „PayPal“), unter Geltung der PayPal-Nutzungsbedingungen, einsehbar unter https://www.paypal.com/de/legalhub/paypal/useragreement-full oder - falls der Kunde nicht über ein PayPal-Konto verfügt – unter Geltung der Bedingungen für Zahlungen ohne PayPal-Konto, einsehbar unter https://www.paypal.com/de/legalhub/paypal/privacywax-full. Zahlt der Kunde mittels einer im Online-Bestellvorgang auswählbaren von PayPal angebotenen Zahlungsart, erklärt der Verkäufer schon jetzt die Annahme des Angebots des Kunden in dem Zeitpunkt, in dem der Kunde den Button anklickt, welcher den Bestellvorgang abschließt.
2.5 Bei der Bestellung über das Online-Bestellformular des Verkäufers wird der Vertragstext nach dem Vertragsschluss vom Verkäufer gespeichert und dem Kunden nach Absendung von dessen Bestellung in Textform (z. B. E-Mail, Fax oder Brief) übermittelt. Eine darüber hinausgehende Zugänglichmachung des Vertragstextes durch den Verkäufer erfolgt nicht.
2.6 Vor verbindlicher Abgabe der Bestellung über das Online-Bestellformular des Verkäufers kann der Kunde mögliche Eingabefehler durch aufmerksames Lesen der auf dem Bildschirm dargestellten Informationen erkennen. Ein wirksames technisches Mittel zur besseren Erkennung von Eingabefehlern kann dabei die Vergrößerungsfunktion des Browsers sein, mit deren Hilfe die Darstellung auf dem Bildschirm vergrößert wird. Seine Eingaben kann der Kunde im Rahmen des elektronischen Bestellprozesses so lange über die üblichen Tastatur- und Mausfunktionen korrigieren, bis er den Button anklickt, welcher den Bestellvorgang abschließt.
2.7 Für den Vertragsschluss steht die deutsche Sprache zur Verfügung.
2.8 Die Bestellabwicklung und Kontaktaufnahme finden in der Regel per E-Mail und automatisierter Bestellabwicklung statt. Der Kunde hat sicherzustellen, dass die von ihm zur Bestellabwicklung angegebene E-Mail-Adresse zutreffend ist, so dass unter dieser Adresse die vom Verkäufer versandten E-Mails empfangen werden können. Insbesondere hat der Kunde bei dem Einsatz von SPAM-Filtern sicherzustellen, dass alle vom Verkäufer oder von diesem mit der Bestellabwicklung beauftragten Dritten versandten E-Mails zugestellt werden können.
3) Widerrufsrecht
3.1 Verbrauchern steht grundsätzlich ein Widerrufsrecht zu.
3.2 Nähere Informationen zum Widerrufsrecht ergeben sich aus der Widerrufsbelehrung des Verkäufers.
4) Preise und Zahlungsbedingungen
4.1 Sofern sich aus der Artikelbeschreibung des Verkäufers nichts anderes ergibt, handelt es sich bei den angegebenen Preisen um Gesamtpreise. Umsatzsteuer fällt nicht an, da der Verkäufer als Kleinunternehmer umsatzsteuerbefreit ist.
4.2 Die Zahlungsmöglichkeit/en wird/werden dem Kunden auf der Website des Verkäufers mitgeteilt.
4.3 Ist Vorauskasse per Banküberweisung vereinbart, ist die Zahlung sofort nach Vertragsabschluss fällig, sofern die Parteien keinen späteren Fälligkeitstermin vereinbart haben.
5) Überlassung der Gutscheine
Gutscheine werden dem Kunden wie folgt überlassen:
- in digitaler Form per E-Mail
6) Einlösung der Gutscheine
6.1 Gutscheine können nur für die aus der jeweiligen Artikelbeschreibung ersichtlichen Dienstleistung eingelöst werden.
6.2 Reicht der Wert des Gutscheins zur Deckung der Vergütung für die jeweilige Dienstleistung nicht aus, kann zur Begleichung des Differenzbetrages eine andere Zahlungsart gewählt werden.
6.3 Das Guthaben eines Gutscheins wird nicht verzinst. Eine Barauszahlung des Gutscheinwertes erfolgt nur, sofern die gewählte Dienstleistung nicht mehr verfügbar ist und sofern der Gutschein noch gültig ist.
6.4 Gutscheine und Restguthaben von Gutscheinen sind bis zum Ende des dritten Jahres nach dem Jahr des Gutscheinkaufs einlösbar. Restguthaben werden dem Kunden bis zum Ablaufdatum gutgeschrieben.
6.5 Der Gutschein ist übertragbar. Der Dienstleister kann mit befreiender Wirkung an den jeweiligen Inhaber, der den Gutschein einlöst, leisten. Dies gilt nicht, wenn der Dienstleister Kenntnis oder grob fahrlässige Unkenntnis von der Nichtberechtigung, der Geschäftsunfähigkeit oder der fehlenden Vertretungsberechtigung des jeweiligen Inhabers hat.
7) Mängelhaftung (Gewährleistung)
Für den Verkauf des Gutscheins haftet der Verkäufer nach den Vorschriften der gesetzlichen Mängelhaftung.
8) Anwendbares Recht
Für sämtliche Rechtsbeziehungen der Parteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Bei Verbrauchern gilt diese Rechtswahl nur insoweit, als nicht der durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, gewährte Schutz entzogen wird.
9) Alternative Streitbeilegung
Der Verkäufer ist zur Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle weder verpflichtet noch bereit.

D. Orders placed by e-mail, phone or messenger
General Terms and Conditions and Client Information
1) Scope of Application
1.1 These General Terms and Conditions of Florim Berisha (hereinafter referred to as "Seller") shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as “ Client”) using means of distance communication (for example phone, fax, e-mail, letter) by way of exclusively individual communication in accordance with section 312 j (5),sentence 1 German Civil Code. The inclusion of the Client's own conditions is herewith objected to, unless otherwise agreed.
1.2 A consumer pursuant to these GTC is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity. A trader pursuant to these GTC is any natural or legal person or partnership with legal capacity acting in the performance of a commercial or self-employed occupational activity when concluding a legal transaction.
1.3 Regarding the purchase of vouchers, these GTC shall apply accordingly, unless expressly agreed otherwise.
2) Conclusion of Contract
2.1 The Client may send a non-binding request to the Seller by phone, fax, e-mail, letter or via the online form displayed on the Seller’s website regarding the submission of an offer. Following that request, the Seller will send a binding offer to the Client in text form (for example by e-mail, fax or letter) regarding the goods from the Seller’s assortments of products previously selected by the Client.
2.2 The Client can accept this offer by a declaration of acceptance transmitted to the Seller by phone, fax, e-mail, letter or via the online form displayed on the Seller’s website or by paying the remuneration offered by the Seller within 7 (seven) days following the receipt of the offer. For the calculation of the time limit the day of the receipt of the order is not counted. The day of the Seller’s receipt of payment shall be decisive for the acceptance of the order by means of paying. If the last day of the deadline for accepting the offer falls on a Saturday or a Sunday or a public holiday at the Client’s place of business, such day will be replaced by the following working day. If the Client does not accept the Seller’s offer within the aforementioned time limit, the Seller will not be bound by his offer and is entitled to freely dispose of the goods. The Seller will emphasize this point in his offer.
3) Right to Cancel

4.4 When choosing the payment method "PayPal" , the handling of payments is done via the payment service provider PayPal (Europe) S.a.r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449, subject to the conditions of use which can viewed at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full. This would require, among other things that the Client has opened a PayPal account or he already has such an account.
5) Shipment and Delivery Conditions
5.1 Goods are generally delivered on dispatch route and to the delivery address indicated by the Client, unless agreed otherwise. During the processing of the transaction, the delivery address indicated in the Seller’s order processing is decisive.
5.2 Should the assigned transport company return the goods to the Seller, because delivery to the Client was not possible, the Client bears the costs for the unsuccessful dispatch. This shall not apply, if the Client exercises his right to cancel effectively, if the delivery cannot be made due to circumstances beyond the Client's control or if he has been temporarily impeded to receive the offered service, unless the Seller has notified the Client about the service for a reasonable time in advance.
5.3 Personal collection is not possible for logistical reasons.
5.4 If the customer is a consumer resident in Germany or a business, the seller reserves the right to withdraw from the contract in the event of incorrect or improper supply to the seller. However, this applies only if the seller is not responsible for the non-delivery and has, with due care, entered into a specific covering transaction with the supplier. The seller will make every reasonable effort to obtain the goods. In the event that the goods are unavailable or only partially available, the customer will be informed immediately and the payment will be refunded without delay.
6) Reservation of Proprietary Rights
If the Seller provides advance deliveries, he retains title of ownership to the delivered goods, until the purchase price owed has been paid in full.
7) Warranty
7.1 Unless otherwise stipulated , the provisions of the statutory liability for defects shall apply. Deviating therefrom, the following shall apply to contracts for the delivery of goods:
7.2 If the Client acts as trader
- the Seller may choose the type of subsequent performance,
- for new goods, the limitation period for claims for defects shall be one year from delivery of the goods,
- for used goods, the rights and claims for defects are excluded,
- the limitation period shall not recommence if a replacement delivery is made within the scope of liability for defects.
7.3 The above-mentioned limitations of liability and shortening of the period of limitation do not apply
- to claims for damages and reimbursement of expenses of the Client,
- if the Seller has fraudulently concealed the defect,
- for goods which have been used in accordance with their customary use for a building and which have caused its defectiveness,
- for any existing obligation of the Seller to provide updates for digital products with respect to contracts for the supply of goods with digital elements.
7.4 Furthermore, for traders, the statutory limitation periods for any statutory right of recourse that may exist shall remain unaffected.
7.5 If the Client is a businessperson pursuant to section 1 of the German Commercial Code (HGB) he has the commercial duty to examine the goods and notify the Seller of defects pursuant to section 377 HGB. Should the Client neglect the obligations of disclosure specified therein, the goods shall be deemed approved.
7.6 If the Client acts as a consumer, the forwarding agent has to be immediately notified of any obvious transport damages and the Seller has to be informed accordingly. Should the Client fail to comply therewith, this shall not affect his statutory or contractual claims for defects.
7.7 The Seller shall not be liable for defects in the performance of the telecommunications contract for which the respective service provider is solely responsible. In this respect, the relevant statutory provisions and any deviating contractual conditions of the respective service provider shall apply.
8) Redemption of Gift Vouchers
8.1 Vouchers that can be purchased from the Seller (hereinafter referred to as "gift vouchers") can only be redeemed on offers by the Seller, unless otherwise stipulated in the voucher.
8.2 Gift vouchers and remaining assets of gift vouchers can be redeemed by the end of the third year following the year of the gift voucher purchase. Remaining assets will be credited to the Client’s voucher account.
8.3 Gift vouchers can only be redeemed prior to the conclusion of the order procedure. Subsequent offsetting is not possible.
8.4 If the value of the gift voucher is not enough for the order, the Client may choose one of the remaining payment methods offered by the Seller to pay the difference.
8.5 The gift voucher credit will not be redeemed in cash and is not subject to any interest.
9) Applicable Law
The law of the Federal Republic of Germany shall apply to all legal relationships between the parties under exclusion of the laws governing the international purchase of movable goods. For Consumers, this choice of law only applies to the extent that the granted protection is not withdrawn by mandatory provisions of the law of the country, in which the Consumer has his habitual residence.
10) Alternative dispute resolution
The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.
